These Terms and Conditions (“Terms”) govern your access to and use of the website and services (“Services”) provided by WIKI SEO (“we,” “us,” “our,” or “the Company”). By accessing our website, engaging our services, or making a payment, you (“Client,” “you,” or “your”) agree to be legally bound by these Terms.

1. Acceptance of Terms
   By engaging WIKI SEO for any service, you confirm you are at least 18 years old and have the authority to enter into a binding agreement. These Terms, along with any specific Service Proposal or Agreement you sign, constitute the entire agreement between you and WIKI SEO.
2. Description of Services
   WIKI SEO provides digital marketing services, including but not limited to: Search Engine Optimization (SEO), content marketing, technical SEO audits, keyword research, and consulting. Specific deliverables, timelines, and performance metrics (if any) will be outlined in a separate Service Proposal or Statement of Work (“SOW”), which becomes an integral part of these Terms upon mutual signing.
3. Client Responsibilities
   To enable effective service delivery, you agree to:

• Provide timely access to necessary assets (e.g., website backend, analytics, Google Search Console).
• Provide relevant business information, logins (where appropriate and secure), and industry insights.
• Designate a single point of contact for communication and decision-making.
• Make timely payments as outlined in the payment schedule.
• Ensure the content or links we create on your behalf adhere to all applicable laws and do not infringe on third-party rights.

4. Payment Terms

• Fees: Fees for services are as specified in your Service Proposal/SOW.
• Billing: For monthly retainers, billing occurs in advance on a recurring cycle. One-time projects may require a deposit or be billed in milestones.
• Payment Methods: We accept payments via credit card, bank transfer, or other methods as specified on our invoices.
• Late Payments: Payments are due upon receipt of invoice. Accounts over 15 days past due may be subject to a late fee (1.5% per month) and/or suspension of services until the balance is cleared.
• Taxes: You are responsible for all applicable sales, use, or other taxes related to the services.

5. Refund Policy
   All fees paid to WIKI SEO are non-refundable, except as explicitly stated in our separate Refund Policy(which is incorporated herein by reference). Due to the bespoke, time-based nature of our services, refunds are not provided for work performed or initiated.
6. Intellectual Property

• Client Materials: You retain ownership of all original brand assets, content, and data you provide to us.
• WIKI SEO Deliverables: Upon full payment of all fees, we grant you a non-exclusive, perpetual license to use the final deliverables (e.g., reports, content, strategies) created specifically for you. WIKI SEO retains ownership of all proprietary methodologies, tools, templates, know-how, and pre-existing materials (“Our IP”). You may not resell, license, or repurpose Our IP.
• Third-Party Tools: We may use third-party software and tools (e.g., SEO platforms, analytics). Their respective terms and licenses govern their use.

7. Performance Disclaimer & Limitation of Liability

• No Guaranteed Results: WIKI SEO makes no explicit or implied guarantees regarding specific search engine rankings, traffic increases, or sales results. SEO is influenced by countless external factors, including frequent changes to search engine algorithms and competitor actions.
• Limitation of Liability: To the maximum extent permitted by law, WIKI SEO’s total liability to you for any claim arising from these Terms or our services shall be limited to the amount you paid to us in the six (6) months preceding the claim. In no event shall WIKI SEO be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits, data, or business opportunities).

8. Confidentiality
   Both parties agree to keep confidential all non-public business information disclosed during the engagement (“Confidential Information”) and to use it only for the purposes of this agreement. This obligation survives termination of our services.
9. Term and Termination

• Term: The term for monthly services begins on the start date and continues month-to-month until canceled per Section 10. Project-based services end upon delivery of final deliverables.
• Termination for Cause: Either party may terminate this agreement immediately if the other party breaches a material term and fails to cure such breach within 14 days of written notice.
• Effect of Termination: Upon termination, you pay for all services rendered up to the termination date. All licenses to Our IP immediately cease, and you must cease using our proprietary materials.

10. Cancellation of Monthly Services
    You may cancel monthly services by providing at least seven (7) days’ written notice via email to your account manager or contact@wikips.com before your next billing date. No refunds are issued for partial months. We reserve the right to cancel services for any reason with 30 days’ notice.
11. Indemnification
    You agree to indemnify and hold harmless WIKI SEO, its owners, and employees from any claims, damages, or expenses (including legal fees) arising from: (a) your breach of these Terms; (b) content or materials you provided to us; or (c) your violation of any law or third-party rights.
12. Dispute Resolution & Governing Law
    Any dispute shall be resolved through good-faith negotiation. If unresolved, the parties agree to submit to the exclusive jurisdiction of the courts located in Us.
13. Miscellaneous

• Independent Contractor: WIKI SEO is an independent contractor, not your employee, partner, or joint venturer.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
• Amendments: We may update these Terms at any time. Continued use of our services after changes constitutes acceptance.
